all depends on the participants.

one side goes a little harder than the other side

someone gets a got shot in

an exhibition fight isn't a real fight.

why can't they just call it a FIGHT?

An exhibition fight can be a real fight but it is not subject to the same scrutiny as a sanctioned pro-boxing match. There would be no drug testing for example.

Foreman fought 5 men in one night in Exhibition matches and he beat the crap out of all of them.

Jack Johnson and Jack Dempsey fought Exhibition matches at various times to avoid Boxing sanctions, or state laws that outlawed prize fighting.

Floyd Mayweather Jr. vs kickboxer Tenshin Nasukawa was an Exhibition bout.

I believe that it was classed as an exhibition match.

Point being that an exhibition match is not always some sort of half-assed hard sparring match. Sometimes the fighters are actually fighting.

I'm just trying to figure this shit out like you are.

Its not great from a marketing perspective.

I assume it is regulatory, and to allow both guys to use a bit of the ole juice.

But also, probably because Mike Tyson is smoking weed 24.7 these days. Allegedly.
